This is a contract between you and Solid Accounting ("Solid Accounting," "we," "us," "our" — the company that makes Solid Accounting software) for the Solid Accounting desktop accounting software. We've written it in plain English so you can actually understand it. The "Legal Details" section at the bottom has the formal language that makes this enforceable.
By purchasing, downloading, installing, or using Solid Accounting, you're agreeing to these terms.
If you purchase or use Solid Accounting on behalf of a corporation, partnership, government agency, or other entity, you represent and warrant that you are authorized to bind that entity to this EULA, and "you" refers to that entity.
You're buying the right to use Solid Accounting — you're not buying the software itself. This matters legally: you can't resell it, auction it, or claim ownership of the code. Think of it like buying a ticket to a movie, not buying the movie.
Your license lasts forever for the version you bought. No subscription, no expiration.
How many computers you can install it on depends on your tier:
| Tier | Default users (included) |
|---|---|
| Standard | 1 |
| Pro | 1 |
| Accountant | 1 |
Additional user seats are $100 one-time per user on any tier. Each seat is a named user, not a concurrent-use slot.
What counts as a "computer": Each physical or virtual machine running a separate operating system instance counts as one installation. A VM, a Docker container running a desktop OS, and a Citrix/RDP terminal server session each count as one. A dual-boot machine counts as one per OS.
You may make a reasonable number of backup copies of the software for archival purposes. Backup copies remain subject to this license.
Keep your license key confidential. Your license key is tied to your purchase. Don't share it publicly or post it online. If your key is compromised, let us know at support@solidaccounting.com — we'll issue a replacement and deactivate the compromised key.
Each tier also unlocks different features. See our pricing page for details. You can upgrade tiers by paying the difference.
We may verify your compliance through the license server. The license activation system checks your machine count — that's all it checks.
Your purchase includes the first year of maintenance. After that, renewal is optional and gets you:
If you don't renew, nothing bad happens. Your software keeps working exactly as-is. You just won't get new updates or priority support. You can renew anytime to get back on track.
Solid Accounting offers optional add-on modules (such as bank feeds and others) that extend the functionality of the desktop software.
There are no separate Add-On Schedules today. The terms for every add-on we currently offer are stated in the published legal documents themselves — the bank feed terms are in the next section of this EULA, the terms covering the invoicing portal and payment processing are in the Payment Service Agreement, and what each add-on sends off your machine is described in the Privacy Policy and the Subprocessor List. Nothing is incorporated by reference from a document you cannot read.
If we ever introduce an add-on that needs supplemental terms, we will publish those terms as an Add-On Schedule at solidaccounting.com/legal and present them to you before you purchase or activate that add-on. An Add-On Schedule would specify:
If a conflict ever exists between an Add-On Schedule and this EULA, the Add-On Schedule controls for that add-on only. The core EULA terms continue to apply to everything else.
If you use the bank feed add-on, you understand and agree:
See the Privacy Policy for details on what bank data we process and how long it's retained.
Not currently enabled. On-device AI is coming soon. In the current version of Solid Accounting it is switched off and shown as "Coming soon", and no model is downloaded. When it is enabled, it will run on your computer and the terms in this section will apply.
Solid Accounting includes an on-device AI system for PDF extraction and related features. By using the AI features, you understand and agree:
Local-first. The AI model runs on your computer. The PDFs you extract, your corrections, and your books never leave your device unless you explicitly enable an opt-in feature (see the Privacy Policy).
Open-source model under our license. Solid Accounting bundles the Qwen3.5 family of language models (Apache 2.0 licensed, copyright Alibaba Cloud). Your use of the bundled model is governed by the Qwen3.5 license, available in the software's "About" screen. Solid Accounting's fine-tuned adapters for specific PDF formats are our intellectual property; your license permits you to use them with the software, but not to redistribute them separately.
AI suggestions are not professional advice. The AI extracts, suggests, and categorizes — it doesn't decide. You are responsible for reviewing every AI output before committing it to your books. Solid Accounting makes no representation that AI output is correct, complete, or suitable for any purpose. If a misclassification by the AI results in an incorrect tax filing, financial report, or other business decision, Solid Accounting has no liability for the consequences.
Training Contribution is opt-in and US-only. You can optionally contribute your corrections to improve future AI releases. See the Privacy Policy for what leaves your device (tokenized corrections, no raw names or PII), retention limits, and deletion rights. When you contribute, you grant Solid Accounting a non-exclusive, royalty-free, perpetual license to use the contributed data (in its anonymized form) to train AI models and improve our products. You retain ownership of the underlying facts. This feature is gated to customers with US billing addresses.
You can uninstall the AI at any time. Settings → Manage AI → Uninstall AI fully removes the model and disables AI features. Non-AI functionality continues to work normally.
Hardware requirements. The AI features require adequate RAM and CPU. Solid Accounting provides a hardware check + runtime estimate before installation; we make no guarantee that any particular performance will be achievable on your hardware, and slow hardware may make AI features impractical even when they technically run.
Your financial data lives on your computer. We don't see it, touch it, or store it on our servers. You can export everything anytime (CSV, PDF, TXF, OFX) or create a complete backup (.solid archive). If this license ever ends, your data is still yours — your files remain readable.
Solid Accounting's code, design, and documentation belong to us and are protected by copyright law. Your license lets you use the software — it doesn't transfer ownership of it.
Solid Accounting includes open source software (Tauri, React, SQLCipher, and others). These components are covered by their own licenses (MIT, BSD, Apache 2.0, etc.) which are included in the software's "About" screen, in the installation directory, and on our Open Source Notices page. Those licenses apply to those components regardless of this agreement.
We make accounting software, not accounting advice. Solid Accounting does not guarantee the accuracy of calculations, reports, or tax filings. Always consult a qualified accountant or tax professional for your specific situation. If you use Solid Accounting to prepare a tax return and the IRS disagrees with it, that's between you and your accountant — not us.
Your license stays with the person or business that bought it. You can't sell, give or otherwise transfer it to someone else. A new owner of your business buys their own license; your company file can go with the business.
Solid Accounting is subject to US export control laws. You agree not to export or re-export the software to any country, person, or entity prohibited by US law (including OFAC sanctions). If you're using Solid Accounting outside the US, you're responsible for complying with your local import laws.
We may occasionally offer beta, preview, or early-access builds. These are provided as-is with no warranties whatsoever. They may expire, contain bugs, lack features, or differ significantly from the final product. Don't use betas for production bookkeeping. We may revoke access to beta builds at any time.
Solid Accounting is designed to store your data reliably, but we can't protect against hardware failures, power loss, operating system bugs, disk errors, or corruption outside the software's control. Keep regular backups. The software's backup feature exists for exactly this reason.
We design Solid Accounting to meet WCAG AA accessibility standards. This is a design goal and ongoing commitment, not a legal guarantee of compliance under the ADA, Section 508, or any accessibility law. If you encounter an accessibility barrier, let us know at support@solidaccounting.com — we want to fix it.
If you send us feature requests, bug reports, or other suggestions, we can use those ideas freely without any obligation to you. We appreciate the input, but submitting it doesn't create any intellectual property claim or entitle you to compensation.
If Solid Accounting permanently ceases operations, we commit to releasing an offline activation patch that removes the license server requirement, so your software continues to work indefinitely. Alternatively, we may place the source code in escrow with a trusted third party, to be released to licensees if the company shuts down. We'll provide at least 12 months' notice before any such event.
Formal legal notices to you will be sent to the email address associated with your license purchase. Notices to us should be sent to legal@solidaccounting.com or by postal mail to the address on our website. Email notice is considered received 24 hours after sending; postal notice is considered received 5 business days after mailing.
If you break these terms, we'll notify you and give you 30 days to fix the problem (a "cure period"). If you don't fix it within 30 days, your license ends and you'd need to delete all copies of the software. For serious violations (piracy, circumvention, illegal use), we may terminate immediately without a cure period. Your data is still yours either way — we'd never hold that hostage.
We can also end this agreement if we stop selling Solid Accounting entirely, with 12 months' notice. Your last installed version would continue to work.
The sections above describe your rights in plain language. The sections below contain the formal legal terms that courts rely on. Where they overlap, the formal language controls.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOLID ACCOUNTING DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
WITHOUT LIMITING THE FOREGOING, SOLID ACCOUNTING MAKES NO WARRANTY REGARDING THE AVAILABILITY, ACCURACY, TIMELINESS, OR COMPLETENESS OF DATA OBTAINED THROUGH THIRD-PARTY BANK FEED AGGREGATION SERVICES (INCLUDING PLAID AND YODLEE), OR THE AVAILABILITY, RELIABILITY, OR INTEGRITY OF CLOUD SYNC SERVICES. BANK FEED AND CLOUD SYNC ADD-ONS DEPEND ON THIRD-PARTY SERVICES AND NETWORK CONNECTIVITY BEYOND SOLID ACCOUNTING'S CONTROL.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN THAT CASE, ANY IMPLIED WARRANTIES ARE LIMITED TO 60 DAYS FROM THE DATE OF PURCHASE.
IN NO EVENT SHALL SOLID ACCOUNTING, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF SOLID ACCOUNTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOLID ACCOUNTING'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Solid Accounting and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) your violation of this Agreement; (c) your violation of any law or regulation; or (d) any third-party claims related to your use of the Software, including but not limited to claims arising from financial data, tax filings, or accounting work produced using the Software.
Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Wilmington, Delaware, or remotely at your election. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree to resolve disputes with Solid Accounting on an individual basis only. You waive any right to participate in a class action, class arbitration, or any consolidated or representative proceeding.
Small Claims Exception: Either party may bring an individual action in small claims court if the claim qualifies.
Opt-Out: You may opt out of this arbitration clause by sending written notice to legal@solidaccounting.com within 30 days of your first purchase. If you opt out, disputes will be resolved in the state or federal courts in Delaware.
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of this Agreement is not a waiver of that provision or our right to enforce it later. A waiver of any term is only effective if it's in writing and signed by Solid Accounting.
You may not assign or transfer this Agreement or your license. Solid Accounting may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, provided the assignee agrees to honor existing licenses.
The following sections survive termination of this Agreement: Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, No Third-Party Beneficiaries, Anti-Circumvention, Government Users, Feedback and Suggestions, and any provisions that by their nature should survive (including Your Data Is Yours, We Own the Software, and Export Compliance).
Solid Accounting is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure failures, or third-party service outages.
This Agreement is between you and Solid Accounting only. No other person or entity has any rights under this Agreement or may enforce any of its provisions.
The Software contains technological measures that control access to and use of the Software, including license activation and database encryption. You may not circumvent, bypass, remove, deactivate, descramble, or otherwise defeat any such technological measure. Violation of this provision may subject you to liability under the Digital Millennium Copyright Act (17 U.S.C. § 1201) and similar laws.
If you are a unit or agency of the United States Government, the Software is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in DFARS §252.227-7014(a)(1) and FAR §12.212, as applicable. Use, duplication, or disclosure by the Government is subject to the terms of this Agreement. The Government acquires only the rights set forth in this Agreement.
This Agreement, together with the Terms of Service, Privacy Policy, Payment Service Agreement (if applicable), and Data Processing Agreement (if applicable), constitutes the entire agreement between you and Solid Accounting regarding the Software and supersedes all prior agreements, understandings, and representations.
Nothing in this Agreement is intended to exclude, restrict, or modify any consumer rights or remedies that cannot be waived or limited by contract under applicable law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010), the EU Consumer Rights Directive (2011/83/EU), or similar mandatory consumer protection statutes. To the extent any provision of this Agreement conflicts with such mandatory protections, the mandatory protection prevails for the affected provision only.
This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. This choice of law does not deprive you of mandatory consumer protections afforded by the laws of your country of residence.
